1. Acceptance of Terms
By accessing or using the services provided by Assured Dispatch and Logistics Services LLC (“AFM,” “we,” “us,” or “our”), including but not limited to Partnered Fleet Owner Programs (Offer 1 and Offer 2), the Copy Cat Program (Offer 3), and any related coaching, consulting, software access, or digital products (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree with these Terms, you may not access or use the Services.
These Terms are effective as of December 13, 2025.
2. Services Provided
AFM provides education, management, consulting, licensing, and operational support related to fleet ownership, asset based trucking operations, and business replication systems within the transportation industry.
Each program is governed by its own written Program Agreement executed at enrollment. Those agreements control in the event of any conflict with these Terms.
Offer 1: Owner Operator Partnership Program Operates under a revenue sharing agreement where AFM manages operational execution and the client earns a percentage of gross revenue.
Offer 2: Asset Based Lease to Own Program Operates under a management agreement and lease structure that may involve third party vendors. The client assumes asset ownership risk and related expenses.
Offer 3: Copy Cat Program Operates under a licensing and consulting agreement granting limited use of AFM proprietary systems and intellectual property.
3. Investment and Financial Disclaimers
A. No Guarantee of Income AFM provides systems, frameworks, and operational guidance. We do not guarantee profits, income levels, or financial success. Results vary based on market conditions, execution, compliance, and external factors.
B. Assumption of Risk Participation in trucking and asset based operations involves inherent risk including market volatility, operational expenses, driver performance, compliance costs, and asset depreciation. You acknowledge and accept that financial losses may occur.
C. Client Reserve Requirements Clients participating in asset based programs are required to maintain adequate cash reserves to cover maintenance, repairs, and unexpected expenses. Typical reserve expectations range from three thousand to five thousand dollars per truck, unless otherwise specified in writing.
D. Third Party Financing Any financing, funding, or lending facilitated through third parties is governed solely by the terms of the third party agreement. AFM does not control approvals, repayment terms, interest rates, or lender decisions.
4. Client Obligations and Conduct
A. Proper Use You agree not to misuse the Services, attempt to gain unauthorized access, or interfere with system security, platforms, websites, or CRM environments provided by AFM.
B. Accuracy of Information You agree to provide truthful, accurate, and complete information during onboarding and qualification, including financial status, credit standing, and operational readiness.
C. Program Compliance Clients agree to follow operational guidelines, recommendations, and compliance standards provided by AFM to support performance, safety, and regulatory adherence.
5. Intellectual Property and Licensing
A. Ownership All systems, training materials, processes, software configurations, frameworks, methodologies, scripts, documentation, and branding provided by AFM remain the exclusive intellectual property of Assured Dispatch and Logistics Services LLC.
B. Limited License Clients are granted a limited, revocable, non transferable license to use AFM intellectual property solely for their approved program participation as defined in the applicable Program Agreement.
C. Restrictions You may not copy, distribute, resell, sublicense, publish, reverse engineer, or create derivative works from AFM intellectual property without prior written consent.
6. SMS Communications and Messaging Terms
Program Description
By subscribing, you agree to receive transactional, informational, and or promotional SMS messages from Assured Dispatch and Logistics Services LLC, including but not limited to:
Account notifications
Service updates
Appointment reminders
Promotions and offers, if applicable
Message frequency may vary.
Opt In Method
Users opt in by submitting a mobile number through a website or landing page and checking an explicit consent checkbox. Consent to receive messages is not a condition of purchase.
Message and Data Rates
Standard message and data rates may apply.
Opt Out Instructions
You may opt out of receiving SMS messages at any time by replying:
STOP to unsubscribe from all messages
After opting out, you will receive a confirmation message and will no longer receive SMS communications unless you choose to re opt in.
Supported Carriers
Our messaging program is supported by major United States wireless carriers. Message delivery is subject to carrier availability, network conditions, and device compatibility.
Service Availability and Disclaimer
Messaging services are provided on an as is and as available basis. We do not guarantee message delivery, timeliness, or availability.
Wireless carriers are not liable for delayed or undelivered messages. Assured Dispatch and Logistics Services LLC is not responsible for delivery failures caused by carrier networks, devices, or technical limitations.
7. Termination and Refund Policy
A. Termination AFM reserves the right to suspend or terminate access to Services immediately if a client violates these Terms, breaches a Program Agreement, misuses intellectual property, or fails to meet financial obligations.
B. Refunds Due to the customized, system based, and intellectual property driven nature of the Services, all setup fees, consulting fees, licensing fees, and program fees are generally non refundable once access is granted. Any exceptions must be expressly stated in the signed Program Agreement.
8. Limitation of Liability
To the fullest extent permitted by law, AFM shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of use, or damage to client owned assets, arising from use of or inability to use the Services.
9. Age Requirement
You must be at least eighteen years old to access the Services, opt in to messaging programs, or participate in any Assured Dispatch and Logistics Services LLC offerings.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles.
11. Privacy Policy
Use of the Services is also governed by our Privacy Policy. By using the Services, you consent to those practices.
